PRO Advisory Committee
The Board has also established a PRO Advisory Committee comprised of seven members: (i) an officer of the Company appointed by the Board (the "Company Representative"), (ii) one representative from each of the Company's four founding participating regional operators ("Founding PROs"), who will be appointed as described in the next paragraph, and (iii) two representatives from the Company's non-Founding PROs, who will be appointed as described in the next paragraph. The Company's Founding PROs are Guardian Storage Centers, LLC, Northwest Self Storage, Optivest Properties, LLC, and SecurCare Self Storage, Inc.
Each Founding PRO will select one representative, in its sole and absolute discretion, to be appointed as a member of the PRO Advisory Committee for a one-year term, which may be renewed each year. With respect to the non-Founding PRO representatives, one time each year, each PRO that is not a Founding PRO may nominate one potential representative to fill the remaining two positions on the PRO Advisory Committee. After nominations are made, each Founding PRO and the Company Representative will vote to decide which non-Founding PRO nominees to appoint to the PRO Advisory Committee for a one-year term. The nominees with the most votes will be appointed. In the event of a tie, the Company Representative will decide which nominees to appoint.
The PRO Advisory Committee will review and recommend to the Board and/or the Investment Committee, as applicable, the annual operating and capital budgets and potential acquisitions and dispositions, and perform such other duties that the Board may delegate to the committee from time to time. In addition, the committee is responsible for the monitoring and reporting to management and the Board of matters pertaining to the performance of each PRO. Recommendations, reports, and approvals of acquisitions and dispositions by the PRO Advisory Committee will be adopted or decided by a majority vote of the committee members.
Tamara D. Fischer has served as an officer of NSA since its inception in 2013 and is currently our President and Chief Executive Officer, and a member of our Board of Trustees since January 2020. In addition, Tamara serves as Chairman of the PRO Advisory Committee.
Before joining NSA, Tamara served as the Executive Vice President and Chief Financial Officer of Vintage Wine Trust, Inc., a real estate investment trust focused on assets in the U.S. wine industry, from 2004 to 2008. She continued to serve Vintage Wine Trust as a consultant through its dissolution in 2010 and served in various other consulting positions until becoming involved with NSA. From 1993 to 2003, Tamara served as the Executive Vice President and Chief Financial Officer of Chateau Communities, Inc. (NYSE: CPJ), one of the largest real estate investment trusts in the manufactured home community sector. She remained at Chateau through its sale in 2003. Prior to joining Chateau, she served as a member of the audit staff at Coopers & Lybrand (now PricewaterhouseCoopers).
Tamara is a member of the Nareit Board of Governors as well as the board of the National Self Storage Association. Tamara is a certified public accountant (inactive) and graduated from Case Western Reserve University with a Bachelor of Arts in Business Administration.
Optivest is run by its co-founder, Mr. Warren Allan, who has more than 25 years of financial and operational management experience in the self storage industry. Mr. Allan is a self storage acquisition and development specialist. Based in Dana Point, California, Optivest currently manages properties across seven states, including Arizona, California, Massachusetts, Nevada, New Hampshire, New Mexico and Texas.
Headquartered in Lone Tree, Colorado, SecurCare was founded in 1988. Its Chief Executive Officer and President is Mr. David Cramer, who has worked in the self storage industry for more than 20 years. Mr. Cramer also leads NSA’s Technology and Best Practices Group. SecurCare provides property management services to properties located throughout California, Colorado, Florida, Georgia, Kentucky, Louisiana, Mississippi, North Carolina, Oklahoma, South Carolina, and Texas.
Guardian Storage Centers is led by Mr. John Minar, who has close to 40 years of self storage acquisition and operational management experience, including real estate acquisition, construction, rehabilitation and ownership. Based in Irvine, California, Guardian currently manages properties located in California, Arizona and Nevada.
Marc M. Smith, President of Personal Mini Storage, recently completed a six-year term on the national Self Storage Association (“SSA”) board where he served in various executive roles including Board Chairman in 2016. Marc also served as past President and National Board Member of the Southeast Region of the SSA. He is a licensed Florida real estate broker and a licensed Florida building contractor. Based in Orlando, Florida, Personal Mini stores are located across central Florida.
Dawn is President of Northwest Self Storage, a property management company that owns, operates and develops storage properties in the Pacific Northwest. Prior to joining Northwest Self Storage, Dawn was in corporate retail for 15 years working for Nike, Gap Inc. and Pottery Barn where she held numerous positions in Merchandising, Ecommerce and Business Development.
Move It Storage is led by its founder, Mr. A. Starke Taylor, III (Tracy), who has more than 40 years of experience in self storage development, acquisition and management. Mr. Taylor is currently on the Board of Directors for the Large Owners Council of the Self Storage Association and is past President, Secretary and Treasurer of the Self Storage Association. Based in Dallas, Texas, Move It is the PRO responsible for covering portions of the Alabama, Florida, Louisiana, Mississippi and Texas markets.
