PRO Advisory Committee
The Board has established a PRO Advisory Committee that will be comprised of seven members: the Company's chief financial officer, one representative from each of the Company's four founding participating regional operators ("PROs"), and two representatives from each of the Company's non-founding PROs. The Company's founding PROs are Guardian Storage Centers, LLC, Northwest Self Storage, Optivest Properties, LLC, and SecurCare Self Storage, Inc. (the "Founding PROs"). Each Founding PRO will select one representative, in its sole and absolute discretion, to be a member of the PRO Advisory Committee for a one-year term, which may be renewed each year. With respect to the two non-Founding PRO representatives, each PRO that is not a Founding PRO will nominate one potential representative to fill the remaining two positions on the PRO Advisory Committee. After nominations are made, the Founding PROs and the Company's chief financial officer will vote to decide which two non-Founding PRO nominees to appoint to the Board for a one-year term. Elections will be held one time each year.
The Committee will review and recommend to the Board of Trustees the annual operating and capital budgets and acquisitions above a certain threshold established by the Board from time to time. The Committee is also responsible for the review of smaller acquisitions and the monitoring of and reporting to management and the Board regarding certain potential acquisitions and PRO performance.
Optivest is run by its co-founder, Mr. Warren Allan, who has more than 25 years of financial and operational management experience in the self storage industry. Mr. Allan is the Southwest Regional President and is recognized as a self-storage acquisition and development specialist. Based in Dana Point, California, Optivest currently manages properties across five states, including Arizona, California, Nevada, New Hampshire and Texas. Prior to contributing properties to NSA, Optivest was ranked by the 2014 Self-Storage Almanac as the 21st largest operator of self-storage properties in the United States.
Headquartered in Lone Tree, Colorado, SecurCare was founded in 1988 and is managed by Mr. David Cramer, who has worked in the self storage industry for more than 15 years. Mr. Cramer is the Mountain and Southeast Regional President and also leads NSA’s Technology and Best Practices Group. SecurCare is the PRO responsible for covering the mountain and southeast regions. SecurCare provides property management services to properties located in 11 states, including California, Colorado, Florida, Georgia, Kentucky, Louisiana, Mississippi, North Carolina, Oklahoma, South Carolina, and Texas. Prior to contributing properties to NSA, SecurCare was ranked by the 2013 Self-Storage Almanac as the sixth largest operator of self storage properties in the United States.
Tamara D. Fischer has served as an officer of NSA since its inception in 2013. She currently serves as President, Chief Financial Officer and Secretary/Treasurer for the Company. Before joining NSA, from 2004 to 2008, Ms. Fischer served as the Executive Vice President and Chief Financial Officer of Vintage Wine Trust, Inc., a real estate investment trust focused on assets in the U.S. wine industry. She continued to serve Vintage Wine Trust as a consultant through its dissolution in 2010 and served in various other consulting positions until becoming involved with NSA. From 1993 to 2003, Ms. Fischer served as the Executive Vice President and Chief Financial Officer of Chateau Communities, Inc. (NYSE: CPJ), one of the largest real estate investment trusts in the manufactured home community sector. Ms. Fischer remained at Chateau through its sale to Hometown America LLC in 2003. Prior to joining Chateau, Ms. Fischer served as a member of the audit staff at Coopers & Lybrand (now PricewaterhouseCoopers). Ms. Fischer is a certified public accountant (inactive) and graduated from Case Western Reserve University with a Bachelor of Arts in Business Administration.
Guardian Storage Centers is led by Mr. John Minar, who has over 30 years of self storage acquisition and operational management experience. Mr. Minar is the Southern California Regional President and brings close to 40 years of real estate acquisition, rehabilitation, ownership, and development experience to NSA. Guardian is the PRO responsible for covering portions of the southern California region and the Arizona market. Based in Irvine, California, Guardian Storage Centers currently manages 26 properties located in California and Arizona. Prior to contributing properties to NSA, according to guidance from Guardian Storage Centers, if the 2014 Self-Storage Almanac had reported its size, it would have been ranked as the 36th largest operator of self storage properties in the United States.
Marc M. Smith, President of Personal Mini, is currently completing a six-year term on the national Self Storage Association (“SSA”) board, where he has served in various executive roles, including Board Chairman for the 2016 term. Marc has also served as past President and National Board Member of the Southeast Region of the SSA. He is a licensed Florida real estate broker and a licensed Florida building contractor.
Move It Self Storage is led by its founder, Mr. Tracy Taylor, who has more than 40 years of experience in self storage development, acquisition and management. Mr. Taylor is the Texas market Executive Vice President and is currently on the board of directors for the Large Owners Council of the Self Storage Association. Move It is the PRO responsible for covering certain portions of the Texas market. Based in Addison, Texas, Move It currently manages its Texas properties. Prior to contributing properties to NSA, Move It was ranked by the 2014 Self-Storage Almanac as the 34th largest operator of self- storage properties in the United States.
J. Timothy Warren has served as president of Three Oaks Development Co. since 1996, where he has been involved in real estate development, specializing in building and leasing industrial business parks. Prior to joining Three Oaks Development Co., Mr. Warren founded JTW Computer Systems in 1976 where he served as president. Mr. Warren graduated from the University of Oregon with a bachelor of science degree in computer science and a minor in accounting.
